Terms and Conditions for a Service Provider Booking App (Customer-Facing)

These Terms of Service and Conditions of Use ("Terms") govern your access to and use of the SiddhiStar website, mobile application, and related services. By accessing, browsing, registering on, booking services through, or otherwise using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy, Refund and Cancellation Policy, and any other policies published on the Platform from time to time.

If you do not agree to these Terms, you must immediately discontinue access to and use of the Platform and Services.

Introduction and Acceptance

1.1

These Terms of Service and Conditions of Use ("Terms") govern your access to and use of the website located at www.siddhistar.com (the "Website"), the SiddhiStar mobile application, and any other software applications, digital interfaces, products, content, features, technologies or services owned, operated or made available by SiddhiStar from time to time (collectively, the "Platform" or "Services").

1.2

The Platform enables users to discover, connect with and book independent Service Providers and religious service providers for puja, katha and other spiritual or religious services, whether conducted physically, online or through any other mode made available on the Platform.

1.3

These Terms constitute a legally binding agreement between you ("User", "you" or "your") and SiddhiStar Global Private Limited, a company incorporated under the laws of India, together with its affiliates, subsidiaries, successors and permitted assigns (collectively referred to as "SiddhiStar", "Company", "we", "us" or "our").

1.4

By accessing, browsing, registering on, booking services through, or otherwise using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy, Refund and Cancellation Policy, and any other policies or guidelines published on the Platform from time to time, all of which are incorporated herein by reference.

1.5

If you do not agree to these Terms, you must immediately discontinue access to and use of the Platform and Services.

1.6

These Terms apply to all existing and future users of the Platform and shall remain effective for all transactions, bookings and interactions undertaken through the Platform.

1.7

You represent and warrant that you are legally competent to enter into a binding contract under the Indian Contract Act, 1872 and are otherwise eligible to use the Platform in accordance with applicable laws.

1.8

Your use of the Platform is at your sole risk. While SiddhiStar endeavours to maintain the quality, accuracy and reliability of the Platform, the Company does not guarantee that the Platform, content, services or information available through it will always be accurate, complete, uninterrupted, secure or free from errors. You acknowledge that you may be exposed to content, opinions, practices or information that you may find objectionable, inaccurate or otherwise unsuitable.

1.9

The Platform may be modified, updated, expanded or discontinued, in whole or in part, from time to time. SiddhiStar reserves the right to introduce additional services, features, subscription plans, memberships, loyalty programs or other offerings, which may be governed by supplementary terms and conditions.

1.10

You may use the Platform only in accordance with these Terms and all applicable laws, rules and regulations of India and, where applicable, the laws of the jurisdiction from which you access the Platform.

Eligibility and Account Registration

2.1

To use certain features of the Platform, you may be required to create an account by providing accurate and complete information, including your name, mobile number and other contact details.

2.2By registering, you represent and warrant that:

2.2.1

You are at least 18 years of age and are capable of entering into a legally binding contract under the Indian Contract Act, 1872.

2.2.2

The information you provide is true, accurate and complete, and you will keep it updated.

2.2.3

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account.

Nature of Services and Role of the Company

3.1

The Platform is an online marketplace that enables users to locate, connect with and book independent Service Providers and religious service providers ("Service Providers") for puja and related services at home, temples or other agreed locations. The Platform also facilitates online puja and katha services (for example, via audio/video) for users in India and certain other countries, as may be supported from time to time. SiddhiStar is a discovery platform that connects demand and supply in the spiritual space.

3.2

Unless specifically stated otherwise in any particular service description, the Company only provides the Platform and acts as an intermediary facilitating the connection and transaction between you and the Service Providers. The actual religious services are provided by Service Providers who operate as independent third-party service providers and not as employees, agents or representatives of the Company.

3.3Accordingly, the Company does not:

3.3.1

Provide any puja or religious services itself.

3.3.2

Make any representations or warranties about the quality, suitability, timing or spiritual outcome of the puja or rituals performed by Service Providers.

3.3.3

Assume responsibility or liability for the conduct, acts or omissions of any Service Provider.

3.4

Notwithstanding the above, the Company may define and communicates certain minimum service standards and a code of conduct that each onboarded Service Provider agrees to follow. The Company also assures the availability of the Service Provider as shown on the Platform and provides a descriptive ritual flow that the Service Provider will follow. However, the actual performance of the puja or katha remains the sole responsibility of the Service Provider.

3.5

The Platform displays a list of available Service Providers for a particular service, and the final choice of Service Provider is made by you. Alternatively, if you select the "auto-assign" feature, a suitable Service Provider will be assigned to you (currently by our admin, and in the future by our algorithm). The order in which Service Providers are displayed, and any boosting or highlighting of their profiles (including any paid promotion features that may be introduced in the future), may be determined and controlled by the Company through its proprietary algorithms.

Service Territory and Languages

4.1

The Platform and Services, including puja and katha services, are available to users in India and in such other jurisdictions worldwide as may be supported by SiddhiStar from time to time, including, without limitation, the United States, the United Kingdom, countries in Europe, the Middle East and Australia, through physical and/or online modes, as applicable to the relevant Service. In-home puja services shall be available only within Delhi NCR, and any request received from outside Delhi NCR for in-home puja services may, at SiddhiStar's discretion, be redirected to or offered as an online puja service, subject to availability and the User's acceptance of the applicable service-specific terms. The availability, scope and manner of provision of any Service shall be as specified on the Platform and may vary based on location, service category, date, time, language, operational requirements and such other relevant considerations as may be determined by SiddhiStar in its sole discretion.

4.2

Availability of Services and of particular Service Provider may vary by city, date, time and language. The Platform may indicate the typical language(s) in which a Service Provider can conduct a puja, but actual language use is subject to agreement between the User and the Service Provider.

User Obligations and Acceptable Use

5.1

You agree to use the Platform only for lawful purposes and in accordance with these Terms and applicable laws in India.

5.2In particular, you agree that you will not:

5.2.1

Use the Platform for any purpose that is unlawful, offensive, defamatory, obscene, or otherwise objectionable.

5.2.2

Infringe any intellectual property or other proprietary rights of the Company, Service Providers or any third party.

5.2.3

Host, display, upload, modify, publish, transmit, update or share any information that is illegal, harmful, hateful, discriminatory, incites violence, promotes superstition in a harmful manner, or is otherwise prohibited under applicable law.

5.2.4

Interfere with or disrupt the Platform or servers or networks connected to the Platform.

5.2.5

Use any automated means (such as bots or scripts) to access, scrape or collect data from the Platform.

5.2.6

Impersonate any person or misrepresent your affiliation with any person.

5.3

We reserve the right to suspend or terminate your access to the Platform at any time if we believe you have violated these Terms or any applicable law.

Booking, Pricing and Payments

6.1Booking Process

6.1.1

You may browse available Service Providers and puja services, review their profiles, service descriptions, pricing and availability, and place booking requests for specific dates and times through the Platform.

6.1.2

A booking request shall be deemed complete only when the User provides all mandatory details required for the relevant service, including the service category, preferred date and time, location (where applicable), language preference, and such other information as may be required on the Platform.

6.1.3

Subject to the User having provided all mandatory details and the requested slot being available in the Service Provider's pre-committed calendar, the System shall automatically confirm the booking in accordance with the applicable service-specific rules and lead-time requirements. In the case of same-day bookings, the requested start time shall be at least one hundred and eighty (180) minutes from the time of booking, unless a different buffer period is specified on the Platform. Certain pujas or kathas may require specific dates or timings as per the Panchang or other religious considerations, as specified on the Platform.

6.1.4

For specific-pick bookings, confirmation may occur automatically upon successful payment where the Service Provider has left the relevant slot open on the Platform and such open slot shall be treated as calendar-based consent for the booking, subject to applicable lead-time rules. For auto-assign bookings, the booking may be allocated by SiddhiStar or its authorised operations team within the timeline specified for the relevant service category on the Platform.

6.1.5

In-home puja booking requests shall be subject to Delhi NCR location verification, and any request falling outside Delhi NCR may be redirected to online puja or declined, as applicable.

6.1.6

For online puja services, the User shall select the date, time and timezone, and no muhurat shall be suggested by the Platform unless expressly stated otherwise on the Platform for a specific service.

6.1.7

For Kathavachak or multi-day katha services, the Platform may require a minimum lead time, and requests made below the standard lead time may be subject to override review, emergency handling, or rejection by SiddhiStar. Where a multi-day katha is booked, the User shall be deemed to have committed to the full booked duration and day-by-day cancellation may not be offered unless expressly stated on the Platform.

6.2Pricing

6.2.1

The prices for different puja services will be displayed on the Platform. These may include: (a) service fees for the service provider (such as Pandit, Kathavachak or any other religious/spiritual service provider); (b) charges for required samagri (puja materials), where applicable; and (c) platform/convenience fees charged by the Company, if any.

6.2.2

All prices are subject to applicable taxes and may be changed by the Company or the Service Provider at any time before your booking is confirmed. Unless expressly stated otherwise, prices are exclusive of applicable taxes, or such tax treatment as may be indicated for each Service. Users are advised to check the price breakdown at the time of Booking.

6.2.3

Prices shown on the Platform are, by default, exclusive of applicable taxes, unless expressly stated otherwise. In particular, the Company's platform/service fee and e-store items (such as puja kits) will be subject to applicable taxes, and the tax treatment for each Service will be indicated, as far as reasonably practicable, at the time of booking. Users are advised to check the price and tax breakdown at the time of Booking.

6.2.4

For online puja services, full pre-payment may be required. Payment rails, currency support and payment methods may vary by geography, including INR-denominated domestic payments and such foreign-currency payment options as SiddhiStar may support from time to time.

6.3Payments and In-App Transactions

6.3.1

Payments for bookings may be made through online payment methods enabled on the Platform (UPI, credit/debit cards, net banking, wallets etc.).

6.3.2

By providing payment information, you represent that you are authorised to use the chosen payment method and authorise our payment gateway partners or us to charge the total amount for your booking.

6.3.3

The Company may collect payments on behalf of Service Providers as their limited collection agent for the sole purpose of facilitating payment. Your payment obligation to the Service Provider will be deemed fulfilled when the Company receives the payment on behalf of the Service Provider. The Company will thereafter settle the Service Provider's share (net of applicable fees and charges) to the Service Provider on a periodic basis (for example, weekly) in accordance with its arrangements with such Service Provider.

6.3.4

Direct payments made by a user to a Service Provider outside the Platform (including cash payments) are permitted where disclosed by the Service Provider, but are at the user's own risk. The Company will not be responsible for tracking, reconciling, refunding or resolving disputes relating to such direct payments.

Cancellations, Rescheduling and Refunds

7.1User-Initiated Cancellation/Rescheduling

7.1.1

You may cancel or reschedule a confirmed booking within the timelines and subject to the conditions specified on the Platform for that particular service category. Different puja services may have different cancellation/rescheduling policies depending on their nature and duration.

7.1.2

Unless a service-specific rule is displayed on the Platform for a particular booking, the following refund structure shall apply to the Service Provider fee component of the booking amount: (a) cancellation more than forty-eight (48) hours before the scheduled start time: 100% refund; (b) cancellation between twenty-four (24) and forty-eight (48) hours before the scheduled start time: 50% refund; and (c) cancellation less than twenty-four (24) hours before the scheduled start time, or User no-show: no refund.

7.1.3

The samagri portion of the booking amount, if any, shall be governed separately in accordance with Clause 8 below and shall not be refundable once dispatched, irrespective of the refund treatment applicable to the Service Provider fee component.

7.1.4

Where an auto-assign booking is cancelled before SiddhiStar has allocated a Service Provider, the User may be eligible for a full refund, and the above customer cancellation tiers may not apply at that pre-allocation stage.

7.1.5

For multi-day katha bookings, cancellation and refund treatment may be assessed with reference to the first booked day, and remaining days may be treated on a prorated basis where SiddhiStar elects to permit such treatment.

7.1.6

The applicable cancellation and refund terms for each booking will be displayed on the booking screen or confirmation page and will form part of these Terms. Certain complex or long-duration services may, in future, have service-specific cancellation and rescheduling rules, which will be notified on the Platform and will prevail for such services.

7.2Cancellation/Rescheduling by Service Provider or Company

A booking may be cancelled or rescheduled by the Service Provider or Company due to reasons such as illness, emergencies, unforeseen events, force majeure, or unavailability of required samagri or permissions. In such cases, we will, as per your choice and subject to availability, arrange for another suitable Service Provider, offer to reschedule the puja to a mutually convenient date/time, or process a refund in accordance with the applicable refund policy.

The Company's liability in such cases will be limited to the amount actually paid for the booking (in case of partial payment, liability is limited to the amount paid, not the total booking price), subject to the specific refund policy and shall not include any separate compensation or penalty.

7.3Refund Process

7.3.1

Approved refunds will be processed to the original payment method (or, where not feasible, via an alternate method mutually agreed upon) within 7 (seven) to 10 (ten) working days from the date the refund is approved, in accordance with applicable Reserve Bank of India guidelines.

7.3.2

Actual credit to your bank/card account may be subject to processing timelines of banks/payment providers, which are beyond the Company's control. Timelines applicable to reversals of electronic transactions and settlement by payments aggregators and banks, as may be prescribed under applicable Reserve Bank of India directions, will also apply.

7.3.3

Where applicable, GST treatment, credit note handling and tax adjustments may be undertaken in accordance with applicable law and SiddhiStar's internal finance processes.

Samagri (Ritual Goods)

8.1

Where applicable, SiddhiStar may offer samagri or ritual goods as part of, or in connection with, a booking. Samagri may be supplied through a third-party vendor, but the User's contractual counterparty in relation to the samagri purchase shall be SiddhiStar unless expressly stated otherwise on the Platform.

8.2

For in-home puja services, samagri may be shown as selected by default at checkout, and the User may be permitted to deselect it where the Platform so allows. For online puja services, samagri may be mandatory unless expressly stated otherwise on the Platform. Samagri shall be shown as a separate line item together with applicable taxes, where relevant.

8.3

Once the samagri has been dispatched, the samagri portion of the booking amount shall be fully non-refundable, regardless of any subsequent cancellation, rescheduling, non-performance, or other disruption affecting the associated puja service, because the goods would already have been procured and shipped for the User's order.

8.4

The User acknowledges and agrees that the samagri may still be delivered even if the associated puja service is cancelled after dispatch.

8.5

If the User receives incomplete, defective or damaged samagri, the User must notify customer support within the timeline specified on the Platform, and SiddhiStar may, at its sole discretion, provide a replacement, a partial refund, or a credit toward a future booking, depending on the facts of the case.

8.6

SiddhiStar may place samagri orders and coordinate dispatch in accordance with the operational timeline applicable to the relevant booking, including target dispatch and delivery timelines, but delivery estimates shall remain indicative unless expressly guaranteed on the Platform.

No Show and Delay

9.1

If the User is not present or the venue is not accessible or ready for the Service within 1 hour of the scheduled start time, the Service Provider may treat the situation as a User no-show, and the Company may treat the Booking as completed with no refund due, unless otherwise specified in the applicable policy or as determined by customer support in exceptional circumstances.

9.2

If the Service Provider is delayed beyond 90 (ninety) minutes, you should contact customer support through the Platform. The Company may assist in tracking or contacting the Service Provider; offer rescheduling or replacement Service Provider, subject to availability; or process a refund, in whole or in part, depending on the circumstances and applicable policy. No separate compensation or penalty will be payable by the Company for delays, other than any refund or rescheduling options expressly offered under the applicable policy.

9.3

You agree to ensure that the venue for any in-person puja, katha or related service is safe, accessible and fit for purpose, including compliance with building rules and local laws.

9.4

For Kathavachak or other venue-based multi-day services, unless expressly stated otherwise on the Platform, the User shall remain responsible for arranging and bearing the cost of the relevant Service Provider's stay, meals and local travel, and SiddhiStar's charges shall relate only to the booked service and such accompanying team support as may be expressly specified on the Platform.

Conduct of Puja and User Responsibilities

10.1

You acknowledge that performance of a puja or ritual is a religious/spiritual activity that may be influenced by various factors including your faith, observance of rituals, and external circumstances. No specific outcome can be guaranteed from any puja.

10.2

SiddhiStar is not responsible for any intended or expected outcomes from any religious or spiritual service. For medical, health, mental health, legal, financial, or other professional concerns, you should seek assistance from qualified professionals in those areas and not rely solely on religious or spiritual services.

10.3You agree to:

10.3.1

Provide accurate details regarding the puja, including names and gotra (if required), purpose of the puja, and any specific traditions to be followed.

10.3.2

Ensure that the venue for the puja (home, office, temple etc.) is safe, accessible and fit for purpose, including compliance with building rules and local laws.

10.3.3

Arrange for or permit the Service Provider to arrange necessary puja samagri if not included in the booking.

10.3.4

Treat the Service Provider with respect and dignity and provide a safe and non-discriminatory environment, including adequate seating, drinking water and reasonable breaks.

10.3.5

Acknowledge that Service Providers engaged through the Platform are required to adhere to a code of conduct and service standards prescribed by the Company from time to time, but that any failure by a Service Provider to fully adhere to such standards does not, in itself, make the Company liable for the Service Provider's acts or omissions.

10.4

You are responsible for your personal belongings and the safety of the venue during the puja. The Company will not be responsible for any loss, damage or theft of your belongings.

User Content, Reviews and Feedback

11.1

The Platform may allow you to post ratings, reviews, comments, feedback or other content regarding Service Providers, services or your overall experience.

11.2

By submitting any content, you grant the Company a worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute and display such content on the Platform or in connection with our business.

11.3You agree that your content will not:

11.3.1

Be misleading, defamatory, obscene, offensive, hateful, discriminatory or unlawful.

11.3.2

Infringe any intellectual property or privacy rights of any person.

11.3.3

Contain any confidential or sensitive personal information of others without their consent.

11.4

We reserve the right (but are not obligated) to review, monitor, filter, edit or remove content at our discretion.

Intellectual Property Rights

12.1

All rights, title and interest in and to the Platform, including all text, graphics, logos, icons, images, audio and video clips, software, source code and other content are owned by or licensed to the Company and are protected by applicable intellectual property laws in India and other jurisdictions.

12.2

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial purposes to discover and book Service Providers.

12.3You shall not:

12.3.1

Copy, reproduce, modify, distribute, sell, lease, reverse engineer, decompile, or disassemble any part of the Platform.

12.3.2

Remove or alter any copyright, trademark or other proprietary notices on the Platform.

12.4Intermediary Status and Prohibited Activities

12.4.1

To the extent the Platform qualifies as an "intermediary" under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Company shall observe due diligence requirements including publishing rules and regulations, privacy policy and user agreement, and removing unlawful content upon obtaining actual knowledge or on receiving a lawful order.

12.4.2You agree that you will not host, display, upload, modify, publish, transmit, update or share any information that:

a)

Belongs to another person and to which you do not have any rights.

b)

Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, discriminatory, hateful or racially/ethnically objectionable.

c)

Is harmful to children.

d)

Infringes any patent, trademark, copyright or other proprietary rights.

e)

Violates any law for the time being in force.

f)

Impersonates another person.

g)

Contains software viruses or any computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource.

12.5

We reserve the right to remove or disable access to such content and to terminate or suspend your access to the Platform for violations.

Third-Party Services and Links

13.1

The Platform may contain links to third-party websites, applications or services, including payment gateways, mapping services or external content providers. These third-party services are not under the control of the Company and are provided for your convenience.

13.2

The Company does not endorse or assume any responsibility for any third-party services, websites, content, products or services. Your use of third-party services is subject to their respective terms and privacy policies.

Marketing Communications

14.1

By using the Platform, you consent to receive transactional communications (such as booking confirmations, OTPs, service updates) from the Company via SMS, WhatsApp, email or in-app notifications.

14.2

Subject to applicable law, the Company may also send you limited promotional communications. You may opt out of receiving non-transactional communications by using the unsubscribe/opt-out mechanism provided in such communications or in your account settings. Promotional communications may be sent via SMS, WhatsApp, email and/or in-app notifications, as permitted by law and user communication preferences.

Disclaimer of Warranties

15.1

The Platform and all services made available through it are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, whether express, implied or statutory.

15.2Without limiting the foregoing, the Company does not warrant that:

15.2.1

The Platform will be uninterrupted, timely, secure or error-free.

15.2.2

Any defects or errors will be corrected.

15.2.3

The information or content available on the Platform is complete, accurate or reliable.

15.2.4

The puja or religious services performed by Service Providers will meet your expectations or produce any specific spiritual or material results.

15.3

To the fullest extent permitted by law, the Company disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement and course of performance.

No Guarantee of Results

16.1

Religious ceremonies, pujas, rituals, kathas, prayers, astrological consultations and spiritual services are inherently based on personal faith, traditions, beliefs, customs, interpretations and religious practices.

16.2SiddhiStar makes no representation, warranty, assurance or guarantee whatsoever regarding:

16.2.1

The spiritual effectiveness of any puja, ritual, katha or religious ceremony.

16.2.2

The fulfilment of any desire, wish, objective or expectation of any User.

16.2.3

The occurrence of any religious, spiritual, emotional, personal, financial, educational, marital, professional, business, health-related or other outcome.

16.2.4

The accuracy of any spiritual guidance, predictions, recommendations, interpretations or opinions provided by any Service Provider.

16.2.5

The suitability of any service for any particular User or purpose.

16.3

Users acknowledge and agree that participation in any religious or spiritual service is entirely voluntary and undertaken at the User's sole discretion and risk.

Faith-Based Services

17.1

Users acknowledge that religious and spiritual services are based on faith, customs, traditions, scriptures, personal beliefs and individual interpretations.

17.2

SiddhiStar does not endorse or verify the theological, scriptural, religious, astrological or spiritual correctness of any opinion, interpretation, advice, ritual methodology or belief expressed by any Service Provider.

17.3

Different Service Providers may have differing views, practices, customs, interpretations or recommendations. SiddhiStar shall not be responsible for any inconsistency, disagreement or variance among such views or practices.

No Medical, Legal, Financial or Professional Advice

18.1

Any information, consultation, guidance, prediction, recommendation or opinion provided through the Platform is intended solely for religious, spiritual, cultural or informational purposes.

18.2Nothing available through the Platform shall constitute or be construed as:

18.2.1

Medical advice.

18.2.2

Psychiatric or psychological counselling.

18.2.3

Legal advice.

18.2.4

Financial, investment or securities advice.

18.2.5

Tax advice.

18.2.6

Insurance advice.

18.2.7

Any other regulated professional service.

18.3

Users should seek independent advice from qualified professionals before making any medical, legal, financial, investment, educational, matrimonial or other significant decisions.

18.4

The Platform and all services made available through it are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, whether express, implied or statutory.

18.5Without limiting the foregoing, the Company does not warrant that:

18.5.1

The Platform will be uninterrupted, timely, secure or error-free.

18.5.2

Any defects or errors will be corrected.

18.5.3

The information or content available on the Platform is complete, accurate or reliable.

18.5.4

The puja or religious services performed by Service Providers will meet your expectations or produce any specific spiritual or material results.

18.6

To the fullest extent permitted by law, the Company disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement and course of performance.

Limitation of Liability

19.1

To the maximum extent permitted by applicable law, in no event shall the Company or its directors, officers, employees, affiliates, agents or licensors be liable for any indirect, incidental, consequential, special, punitive or exemplary damages arising out of or in connection with your use of or inability to use the Platform or services.

19.2

The Company's total aggregate liability for all claims arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you for the specific booking giving rise to the claim, or an amount specified in the Platform's limitation of liability clause, whichever is lower.

19.3

Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law.

Indemnity

20.1You agree to indemnify, defend and hold harmless the Company and its directors, officers, employees, affiliates and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

20.1.1

Your use of the Platform and services.

20.1.2

Your breach of these Terms or any applicable law.

20.1.3

Any claim that your content or conduct infringes or violates the rights of any third party.

Data Protection and Privacy

21.1

The Company's collection, use, storage and disclosure of your personal information will be governed by its Privacy Policy, which is incorporated into these Terms by reference.

21.2

By using the Platform, you consent to the collection and use of your information in accordance with the Privacy Policy and applicable data protection laws in India.

Termination and Suspension

22.1The Company may, at its sole discretion, suspend, restrict or terminate your access to the Platform, with or without notice, if:

22.1.1

You breach these Terms or any applicable law.

22.1.2

You engage in fraudulent, abusive, offensive or otherwise inappropriate behaviour.

22.1.3

It is required by law, regulation or any governmental or regulatory authority.

22.2

Upon termination, your right to use the Platform will cease immediately. However, termination will not affect your obligations or the Company's rights and remedies accrued prior to termination, including payment obligations and indemnity.

Changes to the Terms and Platform

23.1

The Company reserves the right to modify or update these Terms at any time, at its sole discretion, in compliance with applicable law. Any changes will be effective when posted on the Platform or communicated to the user by other reasonable means.

23.2

Your continued use of the Platform after the effective date of the revised Terms will constitute your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.

23.3

The Company may, at any time, change, suspend or discontinue any aspect of the Platform, including features, content, or availability of Service Providers or services, without incurring any liability. This may include the future introduction of subscriptions, packages, recurring bookings or other offerings, which may be subject to additional or specific terms notified on the Platform.

Governing Law and Dispute Resolution

24.1

These Terms shall be governed by and construed in accordance with the laws of India.

24.2

Subject to the provisions below, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or the use of the Platform.

24.3

Any dispute, controversy or claim arising out of or in connection with these Terms and Conditions or use of the Platform, which is not resolved amicably within thirty (30) days, shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed under the said Act. The seat and venue of arbitration shall be Gurugram, Haryana, India and the arbitration proceedings shall be conducted in English.

24.4

The Company may, at its discretion, provide for an internal dispute resolution mechanism or customer grievance redressal process, details of which may be specified in the Platform or in a separate policy.

Grievance Officer and Contact Details

25.1

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the name and contact details of the Grievance Officer shall be published on the Platform.

25.2

You may contact the Grievance Officer or our customer support for any questions, complaints or concerns regarding the Platform or these Terms using the contact details available on the Platform.

Miscellaneous

26.1Entire Agreement

These Terms, together with the Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between the user and the Company with respect to the subject matter (including any specific terms that may be introduced in future for subscriptions, packages, recurring booking or other offerings).

26.2Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

26.3No Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

26.4Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent of the Company. The Company may assign its rights and obligations to any of its affiliates or in connection with a merger, acquisition or sale of assets.
